Quick answerGCC mergers and acquisitions services, including post-merger integration services, help companies acquire, merge, carve out or consolidate Global Capability Centers (GCCs), also called captive centers, without losing talent or delivery. The work runs from deal strategy and GCC due diligence through deal structuring support and Day 1 planning to post-merger integration or separation, TSA exit, and optimization to capture the synergies the deal was meant to deliver.

We build and run GCCs in the Tier 1 hubs of Mumbai, Pune, Gurgaon, Noida, Hyderabad, Chennai, Bangalore, Ahmedabad and Kolkata, and in the Tier 2 city of Gandhinagar.

What's at stake

What happens to your GCC in a merger or acquisition

Deals put GCCs under pressure. Uncertainty makes key people look elsewhere, teams get reorganized mid-delivery, and IP, code and data end up split across entities and systems. Two centers often mean duplicate leadership, tools, contracts and costs.

Most M&A integration plans focus on the financials. The GCC, often hundreds or thousands of people running critical technology and operations, gets attention only after signing, when the risks are hardest to fix. Bringing GCC expertise in early protects the value the deal was meant to create.

Relevance Lab brings GCC operating experience and technology depth to every stage of the deal, working alongside your corporate development team and deal advisors.

Market context

Why GCC mergers and acquisitions are on the rise

As GCCs grow in size and importance, more deals involve them, on both sides of the table.

Consolidation after mergers

Merged companies often inherit two or more centers with overlapping teams, tools and leadership.

Private equity buy-and-build

Portfolio companies combine technology teams into a single, shared GCC to cut cost and scale faster.

Divestitures and carve-outs

Selling a business unit means separating the part of the GCC that serves it, cleanly and on time.

Insourcing vendor-run centers

As GCCs mature, companies buy out centers that service providers built and ran for them.

Buy-side, sell-side and mergers

GCC M&A scenarios we support

Each scenario has its own risks and playbook.

Buy-side

Acquiring a company with a GCC or captive center

A GCC acquisition starts before you sign: assess the target's center, then bring it into your operating model after Day 1, as in any captive center acquisition.

Buy-side

Buying out a vendor-run GCC

Take a center run by a service provider in-house, with continuity for the team and the work.

Sell-side

Carve-out or divestiture of a GCC

Our carve-out services separate a captive center, or the part that serves a divested business, with a clean TSA exit: a captive carve-out without disruption.

Sell-side

Preparing a GCC for sale

Get the center's costs, contracts, IP and compliance in order so buyers see its full value.

Merger

Post-merger integration and consolidation

GCC consolidation: combine two or more centers into one, with a single leadership team, platform and set of processes.

Our approach

Post-merger integration services: our GCC M&A process

Five stages, each with clear outputs for your deal team. We work alongside your corporate development team and financial and legal advisors.

  1. Stage 1

    Strategy & target screening

Clarify why the GCC matters to the deal and screen targets or buyers for GCC fit.

  2. Stage 2

    GCC due diligence

Operational, technology, talent, cost and compliance review of the centers involved.

  3. Stage 3

    Deal structuring support

Input to deal terms: TSA scope, transfer of people and assets, retention and synergy targets.

  4. Stage 4

    Day 1 planning

People, systems, access and communication ready for the first day after close.

  5. Stage 5

    Integrate or separate

Consolidate centers or carve one out in planned waves, then exit the TSA on time.

Due diligence

GCC due diligence: what we check

Financial and legal advisors review the deal; we review the GCC behind it, so there are no surprises on Day 1.

  • Talent: key people, skills, attrition and retention risk
  • Cost: run-rate cost per head, contracts and hidden liabilities
  • Technology: platforms, technical debt and security posture
  • Contracts: leases, vendor agreements and licenses
  • Compliance: entity, labour law and data protection status
  • IP: who owns the code, data and documentation
  • Delivery: what the center runs today, and for whom
  • Integration fit: operating model and culture gaps

TSA exit and IT integration

TSA exit and IT integration for M&A

A transition services agreement (TSA) buys time after a deal, but it is expensive to extend. We plan the exit from the start.

Common pitfalls

Common GCC M&A mistakes we help you avoid

Judging the GCC on cost alone

Cost per head says little about the critical systems, skills and know-how a center holds.

Underestimating integration

Combining people, platforms and processes takes longer than the deal timeline assumes.

Overlooking approvals

Entity, labour and regulatory requirements in India can delay Day 1 if left late.

Ignoring people and culture

Without early retention plans, the people who make the center work are the first to leave.

Where we add value

How we add value at every stage of the deal

Shape the rationale

Clarify the GCC's role in the deal and model its run-rate cost and synergies.

Frequently asked questions

Ask a GCC expert

The acquirer decides whether to keep the GCC as it is, integrate it into its own centers, or carve it out. Each path needs a plan for people, technology, contracts and compliance, so that talent and delivery stay stable through the change.

Our process has five stages: strategy and target screening, GCC due diligence, deal structuring support, Day 1 planning, and integration or separation including TSA exit. After close, optimization captures the synergies the deal was meant to deliver.

Yes. On the buy side we assess and integrate acquired GCCs, including vendor-run centers. On the sell side we prepare GCCs for sale and run carve-outs and divestitures. We work alongside your corporate development team and deal advisors.

It reviews the center behind the deal: key people and retention risk, run-rate costs and contracts, technology and security, entity and labour compliance, IP ownership, and how well the center fits the buyer's operating model.

A GCC carve-out separates a captive center, or the part of it that serves a divested business, into a standalone unit or the buyer's organization. It usually involves a transition services agreement (TSA) while systems are separated.

A TSA exit is the process of ending a transition services agreement after a deal, by moving the systems, data and services the seller was providing onto the buyer's own platforms. Planning it early avoids costly TSA extensions.

By identifying key people early, giving them clear roles and incentives, and communicating regularly and honestly about what is changing. Retention plans are agreed before Day 1, not after people start leaving.
